Terms of Service

Effective date: September 1, 2026

These terms govern use of Project Ledger, the project management and financial visibility service available at projectledger.app (the “Service”). Project Ledger is currently offered through an invite-only early-access program for business use.

We have kept these terms as short and plain as we can. Questions: support@projectledger.app.

1. Agreement and eligibility

By accessing or using the Service you agree to these terms. The Service is intended for business and professional use. If you use the Service on behalf of an organization, you represent that you are authorized to act for that organization, these terms bind that organization (the “Customer”), and “you” includes both you and the Customer. If you do not agree to these terms, do not use the Service.

2. Accounts and security

You agree to:

  • provide accurate account information and keep it current;
  • keep your sign-in credentials confidential and not share your account;
  • comply with the Service’s security requirements, including two-factor authentication where the Service requires it for your role; and
  • promptly notify us at support@projectledger.app if you suspect unauthorized access to your account or your organization’s data.

3. Organizations and authorized users

Access to the Service is organized around Customer organizations. Organization administrators may invite and manage users, assign roles, and set permissions, and those permissions determine what each user can see and do. The Customer is responsible for who it authorizes, for keeping its user list current, and — subject to applicable law — for the actions its authorized users take in the Service.

4. Your data

The business information and content the Customer and its users enter into or upload to the Service (“Customer Data”) belongs to the Customer. Project Ledger claims no ownership of Customer Data. You grant us only the rights needed to run the Service: to host, store, process, transmit, display, back up, and secure Customer Data in order to provide the Service to you, and to maintain and improve the Service as described in our Privacy Policy.

5. Business information

We understand that Customer Data can include commercially sensitive information — project economics, margins, supplier terms. We access Customer Data only to operate, secure, support, and improve the Service, or where you ask us to, or where the law requires it. We do not sell Customer Data, and we do not disclose it to third parties except to the service providers who process it on our behalf, as described in the Privacy Policy, or where the law requires disclosure.

6. Acceptable use

You agree not to:

  • use the Service for unlawful activity;
  • attempt to access another organization’s data, another user’s account, or any part of the Service you are not authorized to access, or to bypass permission or security controls;
  • upload malicious code;
  • interfere with the operation or security of the Service, including by scraping, probing, or deliberately overloading it;
  • upload content that infringes others’ rights or that you do not have authority to use; or
  • resell or provide the Service to third parties as a service.

7. Early-access status

Project Ledger is an early-access product under active development. Features may be added, changed, or removed as the product evolves, and you may encounter defects. Your feedback may shape what we build. We work closely with early-access customers and aim to communicate meaningful changes, but the Service you use today will not be identical to the Service a year from now. The Service is currently provided without charge as part of the early-access program; if paid plans are introduced, we will communicate pricing and terms before you incur any payment obligation.

8. Not accounting, legal, or tax advice

Project Ledger is operational business software: it helps you track and organize project financial and operational information and see it clearly. It is not an accounting firm, law firm, or tax advisor, and its outputs — calculations, margins, reports, statuses, and classifications — are working views of the information your team entered, not professional advice. They do not replace your accounting records or the judgment of your qualified professionals, and you are responsible for your own financial statements, filings, and business decisions.

9. Service availability

We work to keep the Service available and usable, and we monitor it for errors. As an early-access product, however, the Service is provided without an uptime guarantee or service-level agreement, and it may occasionally be interrupted — for maintenance, updates, or reasons outside our control.

10. Backups and data loss

We back up the Service’s database daily and retain backups for a limited period, and we take data durability seriously. No backup regime eliminates the possibility of data loss entirely, and we cannot guarantee that data can never be lost. For documents whose loss would harm your business — signed contracts, invoices you are legally required to keep — retain your own original copies rather than relying on the Service as their only home.

11. Intellectual property

Project Ledger retains all rights to the Service itself: the software, design, branding and trademarks, and the underlying platform technology. These terms grant you a limited, non-exclusive, non-transferable right to use the Service for your organization’s internal business purposes during your access to it — not any license to the software beyond that. The Customer retains its Customer Data, as section 4 says.

12. Feedback

If you send us feedback, suggestions, or ideas about the Service, we may use them to improve Project Ledger without obligation or compensation to you. This applies to the feedback itself — it does not transfer any rights in your Customer Data.

13. Third-party services

The Service is built on third-party infrastructure and service providers (hosting, database, email, analytics, and error monitoring — listed in the Privacy Policy). The Service depends on these providers, and their availability and conduct are not within our direct control.

14. Suspension and termination

You may stop using the Service at any time and may request deletion of your organization’s data as described in the Privacy Policy. We may suspend an account or an organization’s access where reasonably necessary to address a security risk, suspected abuse, or a violation of these terms — and where practical we will tell you why and work with you to restore access. As an early-access program, we may also end program access; if we do so other than for cause, we will give you reasonable notice and a reasonable opportunity to export your Customer Data.

15. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by applicable law, we disclaim all warranties and conditions, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

16. Limitation of liability

To the maximum extent permitted by applicable law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or business opportunities, arising out of or relating to the Service; and (b) our total aggregate liability arising out of or relating to the Service is limited to the total amounts the Customer paid for the Service in the twelve months preceding the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

17. Indemnity

The Customer will defend and indemnify Project Ledger against third-party claims to the extent arising from Customer Data, or from the Customer’s or its users’ use of the Service in violation of these terms or applicable law.

18. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules. The courts located in Ontario have exclusive jurisdiction over disputes arising out of or relating to these terms or the Service, and each party attorns to their jurisdiction.

19. Changes to these terms

We may update these terms as the Service evolves. When we make material changes we will update the effective date at the top of this page and notify users through the Service or by email. Continued use of the Service after a change takes effect constitutes acceptance of the updated terms. The current version is published at projectledger.app/terms.
